These Terms of Use apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

  • We reserve the right to refuse any order you place with us.
  • You must be at least 18 years old to sign up for and utilize our Services.
  • To access and use these Services, you must register for a Netready account (“Account”) by providing all information required during the signup process.
  • You are responsible for keeping your password secure. Netready will not be liable for any loss or damage from your failure to maintain the security of your Account and password.
  • You are responsible for all activity and content such as data, graphics, photos, and links that are uploaded to your Netready Website (“Store Content”). You must not transmit any worms or viruses or any code of a destructive nature.
  • Netready reserves the right to provide our Services to your competitors and make no promise of exclusivity in any particular market segment. You further acknowledge and agree that Netready employees and contractors may also be Netready customers/merchants and that they may compete with you, although they may not use your confidential information in doing so.
  • In the event of a dispute regarding Account ownership, Netready reserve the right to request documentation to determine or confirm Account ownership. Documentation may include, but is not limited to, a scanned copy of your business license, government-issued photo ID, the last four digits of the credit card on file, and so forth.
  • Netready retains the right to determine rightful Account ownership and transfer an Account to the rightful owner. If we are unable to reasonably determine the rightful Account owner, Netready reserves the right to temporarily disable an Account until a resolution has been determined between the disputing parties.

Section 8: Fair Usage Policy

Additional fees will be levied on your Account for excessive use of the Service. Examples of excessive use include, but are not limited to the following areas

  • Frequently sending emails to a large number of customers (you may not send emails which violate CAN-SPAM Laws).
  • Using our servers to store excessive amounts of content (we are not cloud storage providers).
  • Slowing down our servers and/or networks from excessive bandwidth use.

  • We do not guarantee, represent, or warrant that your use of our service will be uninterrupted, timely, secure, bug or error-free. We will therefore not be liable for any losses incurred as a result of, but not limited to, any loss or deletion of your data, unauthorized access to your system, any interruptions of services provided to you (whether temporary or permanent), and/or any bugs, viruses and the like which may impact the Service.
  • You expressly understand and agree that Netready shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, data, or other intangible losses resulting from the use of the Services.
  • In no event shall Netready or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our Services or these Terms of Service (however arising). You agree to indemnify and hold us and, as applicable, our parent, subsidiaries, affiliates, partners, officers, directors, agents, employees, and suppliers harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents it incorporates by reference or your violation of any law or the rights of a third party.

In the event that any provision of these Terms of Use is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Use, such determination shall not affect the validity and enforceability of any other remaining provisions.


Section 12: Ownership of Software

We retain full and exclusive ownership of the software we provide to you as a service. This includes, but is not limited to, all copyrights, titles and trademarks (whether registered or unregistered) associated with our Services. You are not permitted to

  • Copy or attempt to reverse engineer our software
  • Remove or modify any copyright or trademark used in providing you the Service
  • Access our software in order to build a similar or competitive product

In subscribing to use our software as a service, you are granted a non-exclusive, revocable, not-transferable, and limited personal use license. We may not transfer your rights to any other person. We have the right to discontinue this personal license at any time.



Section 13: User Comments, Feedback and Other Submissions

You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive, or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.

  • Netready does not claim any intellectual property rights over the material you provide to the Services. All material you upload remains yours.
  • You retain ownership over all Store Content that you upload to a Netready store; however, by making your store public, you agree to allow others to view your Store Content. You are responsible for compliance of Store Content with any applicable laws or regulations.
  • Netready will not disclose your confidential information to third parties, except as required in the course of providing our Services. Confidential information includes any materials or information provided by you to us which is not publicly known. Confidential information does not include information that: (a) was in the public domain at the time we received it; (b) comes into the public domain after we received it through no fault of ours; (c) we received from someone other than you without breach of our or their confidentiality obligations; or (d) we are required by law to disclose.
  • Netready shall have the non-exclusive right and license to use the names, trademarks, service marks, and logos associated with your store to promote the Services.
  • You retain full responsibility for the content you create, copy and/or publish. We make no endorsement of your content.

Section 15: Termination

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Use are effective unless and until terminated by either you or us. You may terminate these Terms of Use at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

Netready reserves the right to terminate this agreement at any time without notice. In the event that we exercise this right, you will remain liable for all amounts due up to and including the date of termination.



Section 16: Entire Agreement

The failure of us to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.
